JFC designs, builds and operates commercial scale vertical farms in the UK. The investment will be used to fund the next phase of JFC’s growth, including accelerating R&D and construction of JFC’s second farm, JFC2, in Gloucestershire. JFC2 is expected to be the world’s largest vertical farm with over 14,000m2 of automated growing space.

Opus advised VetUK on its sale to VetPartners. VetUK is one of the UK’s biggest online suppliers of pet care products including toys, accessories, pet food, OTC pet treatments and veterinary prescription medicines.

Opus advised Carbon Clean Solutions (CCSL) on raising $22m of growth capital from WAVE Equity Partners, Chevron Technology Ventures, Marubeni Corporation, Equinor Ventures and ICOS Capital. CCSL is a global leader in low-cost carbon dioxide separation technology.

Opus advised Future Biogas on the £8.5m capacity expansion of Vulcan Renewables by John Laing Environmental Assets Group (JLEN). The upgrade will be undertaken by Future Biogas as operator of the plant, and is expected to increase biomethane generating capacity.

Opus advised John Laing Environmental Assets Group (JLEN) on an £11m investment in the Icknield Farm anaerobic digestion plant acquired from Ingenious and private owners. Icknield is a 5MW AD plant producing bio-methane, which is injected directly to the gas grid.

Opus advised Future Biogas and John Laing Environmental Assets Group (JLEN) on the £15.3m acquisition of Vulcan Renewables from Venture Capital Trusts managed by Downing LLP. Vulcan operates a 5MW anaerobic digestion plant located near Doncaster and exports biomethane gas to the National Grid.

Opus advised Accsys Technologies PLC on its £19m growth capital raise from the Business Growth Fund and Henderson Volantis. The funding will be used to construct a facility to produce Tricoya, a sustainable acetylated wood chip product used to form panels similar to MDF but with materially enhanced performance.

Opus advised Estover on the financing of its third biomass combined heat and power plant located near Sandwich in Kent. The plant will cost approximately £160m to construct and will be funded by Copenhagen Infrastructure Partners and BWSC.

Opus advised Peppermint on the sale of a majority stake to Matthew Clark, subsequent to its recent purchase by Conviviality. Peppermint is one of the largest event bar operators in the UK.

Opus advised Kebony on its growth capital fund raise, which was led by investors PMV and Investinor. Based in Norway, Kebony has developed a technology that enhances the properties of softwood. Its products are a sustainable alternative to tropical hardwood.

Opus advised Biomass Heating Solutions Limited (bhsl) on the successful restructuring of its balance sheet and the securing of additional growth capital. bhsl offers a proprietary process for combusting a range of agricultural wastes and by-products to create heat and power.

Opus advised Estover on the financing of its second biomass combined heat and power plant located at Cramlington in Northumberland. The plant will cost £138m to construct and will be funded by the same equity consortium of John Laing and the UK Green Investment Bank as funded Estover’s Speyside project in 2014, on which Opus also advised.

Opus advised E-Leather and Kadoorie on sourcing a transactional investor. The process included potential strategic investors from Europe and Asia. E-Leather is a supplier of upholstery to aviation, bus and rail sectors.

Opus advised the shareholders of Highview Power Storage on its growth capital fund raise. Investors included the US company ADA-ES Inc., high net worth individuals and investors through the SyndicateRoom crowdfunding platform.

Opus advised the shareholders of Ecovision Renewable Energy in connection with the sale of its residential solar photovoltaic (PV) portfolio to Aviva Investors. The portfolio consisted of over 4,000 residential PV systems totalling 12.3MW situated across the UK.

Opus advised Estover on raising equity to fund construction of its Speyside biomass combined heat and power plant, which will cost £74m to construct. John Laing and the UK Green Investment Bank are providing £26m of equity funding, combined with £48m debt raised from the bond market backed by a guarantee from Infrastructure UK, part of HM Treasury.

Opus acted as financial and Rule 3 adviser to AIM listed Manroy Plc on the £16m recommended offer by Herstal SA, the Belgian defence group.

Opus initiated the financing for the recent buy-out of Seligman Private Equity Select LLP from La Compagnie Financiére Edmond de Rothschild Banque SA.

Opus advised the Carbon Trust on the detailed structuring and implementation of the Low Carbon Workplace Fund joint venture with Threadneedle Asset Management and Stanhope plc. The fund will refurbish suitable office buildings to provide the highest specification, low carbon prime office spaces in the UK.

Opus advised Keydata Income VCT 1 and Keydata Income VCT 2 on their merger with Foresight VCT. The merger enabled shareholders in the Keydata VCTs to gain exposure to a broader and more diversified portfolio of underlying investments, whilst reducing the level of annual running costs.

Opus advised Regional Airports on the sale of Southend Airport to Stobart Group. Southend is London’s sixth largest airport and has seen significant investment and expansion following the acquisition.

Opus advised the Carbon Trust on the structuring and implementation of its joint venture with HSBC Environmental Infrastructure Fund. The Carbon Trust was set up by Government in 2001 to accelerate the move to a low carbon economy by working with organisations to reduce carbon emissions and develop commercial low carbon technologies.
